Constitution
Chapter I — Name, Purpose, and Activities
Article 1
The name of the Society shall be “Kagoshima Nichi-ei Kyōkai(鹿児島日英協会)” or “ The Japan-British Society of Kagoshima” in English (hereinafter referred to as the Society).
Article 2
The office of the Society shall be located at:
2-9-12 Seiryo,
Kagoshima City,
Kagoshima Prefecture,
Japan

Article 3
The object of the Society shall be to promote friendly relations and to enhance mutual understanding between Japan and Britain through cultural and economic exchange.
Article 4
To achieve the object stipulated in the preceding article, the Society shall conduct the
following Activities:
- Providing opportunities for exchange and friendship between the peoples of Japan and the UK
- Research, introduction, and coordination regarding culture, education, industry, and tourism
- Cooperation in Japan-UK economic exchange
- Holding social gatherings, lectures, film screenings, exhibitions, and other meetings
- Publishing a newsletter and other printed materials
- Establishing and supporting a Youth Division
- Other activities necessary to achieve the purpose of this society
Chapter II — Membership
Article 5
The Members of this society shall consist of Individual Members, Corporate Members, and Youth Division Members.
- Members of this society shall be organised from those who support the purpose of the Society.
- Admission requires nomination by two existing Members and approval by the Board of Directors.
Article 6
A Member shall lose their membership on the following occasions:
- Voluntary resignation
- Non-payment of the prescribed annual membership fee for two years or more
- Death of the Member
- Where the Board of Directors determines that the member has significantly damaged the honour of, or caused harm to, the Society
Chapter III — Officers
Article 7
The Society shall have the following Officers:
- One Chair of the Society
- Two Vice Chairs of the Society
- Directors as needed
- One Auditor
- One Chair of Youth Division
- Two Vice Chairs of Youth Division
- The Chairman and Vice Chairmen shall be elected at the General Meeting.
- Directors and the Auditor shall be appointed by the Chairman.
Article 8
The duties of the officers shall be as follows:
- The Chair of the Society represents the society and oversees its operations.
- The Vice Chairs of the Society assist the Chair and act on the Chair’s behalf when the Chair is unable to perform their duties.
- The Directors form the Board of Directors and handle important matters of the Society.
- The Auditor audits the accounts.
Article 9
The term of office for Officers shall be two years, and reappointment is not precluded.
Article 10
The Society may appoint an Honorary Chair and Special Advisors.
- The Honorary Chair and Special Advisors shall be nominated by the Chair.
Article 11
The Society may appoint Advisors.
- Advisors shall be approved by the Board of Directors upon nomination by the Chair.
- Advisors may respond to inquiries from the Chair and attend Board meetings to offer their opinions.
Article 12
This society shall have a Secretariat, and the Secretary General shall be selected from among the Directors and appointed by the Chair.
Chapter IV — Meetings
Article 13
The meetings of this society shall be the General Meeting and the Board of Directors' meeting.
Article 14
The General Meeting shall be convened by the Chair at least once a year.
- Matters to be submitted to the General Meeting for discussion shall be:
- Budget and financial statements
- Reports and plans on the Activities
- Election of officers
- Amendments to the Constitution
- Other important matters
Article 15
The Board of Directors' meeting shall be convened by the Chair at least once a year.
- The Board of Directors' meeting shall be convened by the Chair.
- Matters to be submitted to the Board of Directors' meeting for discussion shall be:
- Matters to be submitted to the General Meeting for discussion
- Approval of Advisors
- Approval of new memberships and confirmation of withdrawals
- Execution and management of the budget
- Formulating and executing the plans on Activities
- Other important matters
Chapter V — Accounting
Article 16
The accounts of the Society shall be funded by membership fees, donations, income from the Activities, and other income.
Article 17
The fiscal year of the Society shall begin on 1 October of each year and end on 30 September of the following year.
Article 18
The membership fees of this society shall be as follows:
Corporate Members | 20,000 Yen |

Youth Division Members | 2,000 Yen |
Chapter VI — Amendment of the Constitution
Article 19
The Constitution of the Society may be amended by a resolution of two-thirds or more of the members present at the General Meeting.
Supplementary Provisions
As a transitional measure at the time of founding, the constitution and officers shall be determined by the founding committee.
This Constitution took effect on 4 August, 1992 (Heisei Year 4).
This Constitution took effect on 27 November, 2009 (Heisei Year 21). (Revision regarding the fiscal year)
